Terms and Conditions
Effective date: 6 October 2026
Last updated: 6 October 2026
These Terms and Conditions (Terms) are a legal agreement between you and Go Sollo Limited, a company registered in New Zealand (company number 9429712, NZBN 9429053685360) (Sollo, we, us or our).
These Terms apply when you visit gosollo.com (the Website), create an account, or use the Sollo application, AI features, integrations, programmes, community, content or other services we provide (together, the Services).
If you accept these Terms for a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.
By ticking the box at sign-up, by clicking to accept, or by using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. About Sollo
1.1 Sollo is a customer relationship management (CRM) and sales platform for consultants, coaches, fractional professionals and other solo businesses. It includes lead generation, contact and pipeline management, AI-assisted sales tools, and integrations with third-party platforms.
1.2 You can contact us at support@gosollo.com. Formal legal notices must also go to this address (see clause 21.9).
2. Business use only
2.1 The Services are for business purposes only. You confirm that you are acquiring the Services in trade, for the purposes of a business, and not as a consumer.
2.2 Because you acquire the Services in trade:
(a) the Consumer Guarantees Act 1993 does not apply, as permitted by section 43 of that Act; and
(b) sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, as permitted by section 5D of that Act.
2.3 You and we agree that it is fair and reasonable to be bound by clause 2.2.
2.4 If you live outside New Zealand, the law of your country may give you rights that cannot be excluded by contract. These Terms do not remove those rights. Where such a law applies, our liability is limited as far as that law allows.
3. Definitions
In these Terms:
Account means the account you use to access the Services.
AI Features means any feature that uses artificial intelligence or machine learning, including the Sales Coach, the Sollo Agent, prospect scoring, message drafting and summaries.
Contacts means the people whose personal information you store, import, enrich or contact through the Services.
Credits means units that you buy or receive as part of a plan and spend on specific features, such as data enrichment.
Customer Data means all data that you or your Users upload to, import into, or create in the Services, including Contact information, messages, notes and pipeline data.
Fees means the amounts payable for your plan, Credits or other paid Services.
Output means content that the AI Features generate for you.
Third-Party Services means any product, platform, network, API or service that a third party provides, including LinkedIn, Google (including Gmail and Google Calendar), Microsoft, email providers, payment processors, data enrichment providers and AI model providers.
User means any person who you allow to access the Services under your Account.
4. Your Account
4.1 You must be at least 18 years old and able to enter into a binding contract.
4.2 You must give accurate and complete information when you register, and you must keep it up to date.
4.3 You are responsible for:
(a) keeping your login details secure and confidential;
(b) all activity under your Account, including activity by your Users; and
(c) making sure that every User complies with these Terms.
4.4 Tell us immediately at support@gosollo.com if you think someone has used your Account without permission. We are not liable for loss that results from unauthorised use of your Account if you did not keep your login details secure.
4.5 You must not share an Account between people or businesses unless your plan allows it.
5. Plans, free trials, Credits and payment
5.1 Plans. The features, usage limits and Fees for each plan are as described on our pricing page or in your order at the time you buy.
5.2 Free trials. We may offer a free trial. Unless you cancel before the trial ends, your paid plan starts automatically at the end of the trial and we charge your payment method. One free trial is allowed per person or business. We may change or end free trials at any time.
5.3 Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) for a period of the same length, unless you cancel before the renewal date. You authorise us, and our payment processor, to charge your payment method at each renewal.
5.4 Payment. You pay Fees in advance. Prices exclude GST and other taxes unless stated otherwise. You must pay any applicable taxes. If you are in New Zealand, we add GST where required.
5.5 Failed payments. If a payment fails, we may try again and we may suspend the Services until you pay. We may charge interest on overdue amounts at 8% per year above the Reserve Bank of New Zealand official cash rate, or at a lower maximum rate that the law allows.
5.6 Credits. Credits have no cash value. You cannot transfer or refund them. Unless we tell you otherwise, unused Credits expire at the end of the billing period in which they were issued, or when your subscription ends. A Credit is used when a request is made, even if the result is incomplete, out of date or not found, unless the feature description says something different.
5.7 Upgrades and downgrades. Upgrades take effect immediately. We may charge a pro-rated amount. Downgrades take effect at the next renewal date.
5.8 Price changes. We may change our Fees. We will give you at least 30 days' notice by email or in the app. The new Fees apply from your next renewal date after the notice period ends. If you do not agree, you can cancel before the renewal.
5.9 No refunds. Except where the law requires a refund or these Terms expressly provide one, Fees are non-refundable. This includes partly used billing periods, unused Credits, unused seats, and periods when you did not use the Services.
5.10 Cancellation. You can cancel at any time in your Account settings. Cancellation takes effect at the end of the current billing period. You keep access until then.
6. Third-Party Services and integrations
6.1 What integrations do. The Services let you connect Third-Party Services to Sollo. When you connect a Third-Party Service, you authorise us, and our service providers, to access that account and to read, import, send and act on data and messages as needed to provide the features you use.
6.2 Actions on your instruction. Every message, connection request, email, import, sync or other action that Sollo performs through a Third-Party Service is performed on your instructions and on your behalf. You are responsible for every such action, as if you had performed it yourself. This applies whether you started the action manually, set it up to run automatically, or approved an AI Feature to do it.
6.3 Third-party terms apply. Third-Party Services are not owned or controlled by Sollo. Your use of each one is governed by that provider's own terms and policies. You are responsible for reading and complying with those terms and policies. We do not endorse any Third-Party Service.
6.4 No responsibility for Third-Party Services. To the maximum extent permitted by law, Sollo is not responsible or liable for:
(a) the availability, security, accuracy, functionality or performance of any Third-Party Service;
(b) any act or omission of a Third-Party Service provider, including how it collects, uses, stores or deletes your data;
(c) any decision by a Third-Party Service provider to limit, restrict, suspend, close or ban your account or access;
(d) any loss of data, contacts, connections, messages, content or history held in a Third-Party Service; or
(e) any messages or emails that are blocked, filtered, sent to spam, delayed or not delivered.
6.5 Changes to integrations. Third-Party Service providers can change or withdraw their APIs, products or permissions at any time. If that happens, or if we reasonably decide that an integration creates legal, security or commercial risk, we may change, limit, suspend or remove the integration. We will try to give you reasonable notice. We are not liable for any such change, and it does not entitle you to a refund or credit.
6.6 Data from third parties. Some features, such as lead search and contact enrichment, provide data that comes from third-party sources. We do not create, check or guarantee that data. It may be incomplete, inaccurate or out of date. You must check data before you rely on it or use it to contact anyone. You are responsible for having a lawful basis to collect, store and use any personal information you obtain through these features.
6.7 Disconnection. You can disconnect a Third-Party Service at any time. Data already imported into Sollo stays in your Account until you delete it or your Account is closed.
7. Connected platform accounts
7.1 No affiliation. Sollo is an independent company. Sollo is not affiliated with, endorsed by, sponsored by or approved by LinkedIn, Google, Microsoft or any other provider of a Third-Party Service. All trademarks belong to their owners.
7.2 Each platform makes its own decisions. Each provider of a Third-Party Service, including LinkedIn, controls its own platform. It may limit, restrict, suspend or close any account at its own discretion and without warning, for example where it detects activity that it considers unusual. Sollo cannot predict, prevent or reverse these decisions.
7.3 Your platform accounts are your responsibility. You are responsible for:
(a) reading and complying with the user agreement and policies of each platform you connect to Sollo, including the LinkedIn User Agreement; and
(b) deciding which actions to take on each platform, who to contact, what to say and how often.
Any limits, recommended settings or guidance that Sollo provides are for general help only. They do not guarantee how any platform will treat your account.
7.4 No liability. You use features that connect to your platform accounts at your own risk. To the maximum extent permitted by law, Sollo is not liable for any loss or damage that results from a platform's decision about your account. This includes the restriction or closure of your LinkedIn or other account, the loss of connections, messages, followers, content or reputation, and any loss of business or opportunity.
7.5 Our right to change features. We may set or change limits, or pause, change or remove any feature that connects to a platform, at any time and for any reason, including changes made by the platform provider. We will not owe you a refund or credit if we do.
8. Acceptable use and your legal responsibilities
8.1 You are responsible for your outreach. You are solely responsible for Customer Data, for every message you send through the Services, and for your compliance with all laws that apply to you and to the people you contact. These include, as applicable:
(a) the Privacy Act 2020 and the Unsolicited Electronic Messages Act 2007 (New Zealand);
(b) the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations (United Kingdom);
(c) the EU General Data Protection Regulation and the ePrivacy rules of each EU member state;
(d) the CAN-SPAM Act and state privacy laws (United States);
(e) Canada's Anti-Spam Legislation (CASL); and
(f) the Australian Privacy Act 1988 and Spam Act 2003.
8.2 What you must do. You must:
(a) have a lawful basis, and any consent the law requires, to collect, store and contact each Contact;
(b) give Contacts any privacy information the law requires;
(c) identify yourself and your business truthfully in every message;
(d) include a working opt-out in commercial emails where the law requires it, and honour every opt-out or objection promptly; and
(e) delete or correct a Contact's data when the law requires it.
8.3 What you must not do. You must not use the Services, or let anyone else use them, to:
(a) send spam, bulk unsolicited messages, or messages that break any anti-spam law;
(b) send content that is unlawful, misleading, deceptive, defamatory, harassing, threatening, discriminatory, obscene or that infringes another person's rights;
(c) impersonate any person or misrepresent who you are or who you work for;
(d) collect, store or process sensitive information (for example health, financial account, government identification or criminal record information) unless the law permits it and you have the protections it requires;
(e) contact people who have asked you not to contact them;
(f) promote illegal products or services, or products and services in categories we tell you are prohibited;
(g) scrape, harvest or copy data from the Services, or from Third-Party Services through the Services, beyond what the features are designed to do;
(h) go around, disable or interfere with any usage limit, rate limit, security feature or access control;
(i) reverse engineer, decompile or try to discover the source code of the Services, except where the law allows this despite this restriction;
(j) upload viruses, malware or other harmful code;
(k) resell, sublicense, rent or provide the Services to third parties, or use them as a service bureau, without our written agreement;
(l) use the Services or Output to build or train a competing product; or
(m) use the Services in a way that breaks the terms of any Third-Party Service.
8.4 Our right to act. If we reasonably believe that you have broken this clause 8, or that your use creates a risk of harm, complaints, legal liability, or action by a Third-Party Service against you, us or other customers, we may take action without notice. We may apply usage limits, pause features, remove content, or suspend or close your Account under clause 16.
9. Your data and privacy
9.1 You own your data. You keep all rights in Customer Data. We do not claim ownership of it.
9.2 Licence to us. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data, but only as needed to provide, secure, support and improve the Services, and as these Terms or the law otherwise allow. Our service providers receive the same rights, but only to the extent they need them to help us provide the Services.
9.3 Roles under data protection law. For personal information in Customer Data, you are the controller (or the agency that holds the information) and we act as your processor (or service provider). We process that personal information only to provide the Services and in line with your instructions. Our Privacy Policy explains how we handle personal information where we are the controller, for example your Account details.
9.4 Your warranty. You confirm that you have every right, notice and consent needed for us to process Customer Data as these Terms describe.
9.5 Usage data. We may collect technical and usage data about how the Services are used. We may use it to operate, secure and improve the Services, and we may share it in aggregated or de-identified form that does not identify you or any Contact.
9.6 Keep your own copies. We take reasonable steps to protect and back up Customer Data, but we do not guarantee that data will never be lost or damaged. You are responsible for keeping your own copies of Customer Data that matters to you. You can export your data at any time with the export tools we provide.
9.7 Security. We use reasonable technical and organisational measures to protect Customer Data. No system is completely secure. If we become aware of a breach that affects your Customer Data, we will tell you without undue delay.
10. AI Features
10.1 Output can be wrong. AI Features produce Output automatically. Output may be inaccurate, incomplete, out of date, biased, or unsuitable for your purpose, and similar requests may produce different Output. Output is not professional, legal, financial or other advice.
10.2 You review and decide. You must review Output before you rely on it, send it or act on it. You are responsible for every message you send and every decision you make, including when an AI Feature drafted the message or recommended the decision.
10.3 No significant automated decisions. You must not use AI Features to make decisions about a person that have legal or similarly significant effects (for example, decisions about employment, credit or access to essential services) without meaningful human review.
10.4 Ownership of Output. As between you and us, and to the extent the law allows, you own the Output that the AI Features create for you. Other users may receive similar Output.
10.5 AI providers. We use third-party AI model providers to run the AI Features. We send them only the data needed to produce the Output. We do not allow these providers to use your Customer Data to train their general models.
10.6 No guaranteed results. AI Features that score prospects, suggest leads, or coach your sales process are tools to help you. We do not promise that they will produce leads, meetings, sales or any other result.
11. Changes to the Services and beta features
11.1 We continually develop Sollo. We may add, change or remove features. If we remove a material feature of your paid plan during a billing period, we will give you reasonable notice and, at our choice, a substitute feature or a pro-rated credit for the remaining period.
11.2 We may offer beta, preview, early-access or "labs" features (Beta Features). Beta Features are provided "as is", may contain errors, may change or stop at any time, and are excluded from any service commitment. Our liability for Beta Features is limited to the maximum extent permitted by law.
12. Intellectual property
12.1 Our property. We, or our licensors, own all intellectual property rights in the Services, the Website and our content. This includes software, design, text, graphics, logos, templates, programmes, courses, scripts and trademarks. Nothing in these Terms transfers those rights to you.
12.2 Your licence. While your Account is active and you comply with these Terms, we give you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes.
12.3 Programme and course content. If you buy access to a programme, course, vault, template or other learning content, you may use it for your own business. You must not copy, resell, share, publish or distribute it, or use it to create a competing product, without our written consent.
12.4 Feedback. If you give us suggestions, ideas or feedback, we may use them freely, without payment or attribution, and you assign to us any rights you have in them.
12.5 Publicity. We may use your business name and logo to identify you as a customer on our Website and in marketing materials. You can ask us to stop at any time by emailing support@gosollo.com. We will stop within 30 days, but we do not have to withdraw materials already printed or distributed.
12.6 Content you submit to our community or marketing. If you post content in our community, take part in a podcast or event, or send us a testimonial, you confirm that you have the right to share it. You give us a worldwide, perpetual, royalty-free licence to use, reproduce, edit and display it in any medium for the purposes of operating and promoting Sollo.
13. Disclaimers
13.1 To the maximum extent permitted by law, the Services, the Website, Output, third-party data and all content are provided "as is" and "as available". We give no warranties, conditions or guarantees, express or implied. This includes any implied warranty of merchantability, acceptable quality, fitness for a particular purpose, accuracy or non-infringement.
13.2 We do not promise that the Services will be uninterrupted, error-free, secure, available at any particular time, or compatible with any Third-Party Service.
13.3 No promise of results. Sollo provides software, education and coaching tools. Any examples, case studies, income figures or results shown on the Website, in a programme or in marketing are illustrations only. They are not typical and they do not promise that you will achieve the same results. Your results depend on your own effort, skills, market and other factors outside our control.
14. Limitation of liability
14.1 What we do not limit. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud or for wilful misconduct.
14.2 No indirect loss. To the maximum extent permitted by law, we are not liable to you, whether in contract, tort (including negligence), equity, under statute or otherwise, for any:
(a) loss of profit, revenue, business, contracts, customers, opportunities or anticipated savings;
(b) loss of goodwill or reputation;
(c) loss or corruption of data;
(d) wasted time or staff costs; or
(e) indirect, incidental, special, consequential or punitive loss or damage,
even if we were told that the loss was possible.
14.3 Third parties and your use. To the maximum extent permitted by law, we are not liable for any loss or damage that arises from:
(a) any Third-Party Service, or any action that a Third-Party Service provider takes against you or your account (see clauses 6 and 7);
(b) messages, connection requests or emails sent through your Account, or any complaint, claim or regulatory action from a Contact or regulator about them;
(c) the accuracy or use of third-party data or Output;
(d) your breach of these Terms or of any law; or
(e) Beta Features or free plans and free trials.
14.4 Our maximum liability. To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or in connection with these Terms or the Services is limited to the greater of (a) the Fees you actually paid us for the Services in the three (3) months before the event that gave rise to the first claim, and (b) NZ$100.
14.5 Time limit. You must bring any claim against us within 12 months after the date on which you became aware, or should reasonably have become aware, of the facts that give rise to the claim.
14.6 Fair and reasonable. You agree that the limits in this clause 14 are fair and reasonable, considering the price of the Services, the fact that you control how you use them, and the fact that you can protect yourself, for example by keeping your own data backups and choosing how you use Third-Party Services.
15. Your indemnity
15.1 You indemnify Sollo, its directors, officers, employees and contractors against all claims, losses, damages, liabilities, fines, penalties, costs and expenses (including reasonable legal costs on a solicitor and own client basis) that arise out of or in connection with:
(a) Customer Data, or messages or content sent through your Account;
(b) your use of any Third-Party Service through Sollo, including any claim or action by LinkedIn, Google or another provider;
(c) any claim by a Contact, a regulator or another third party about how you collected, used or contacted personal information;
(d) your breach of these Terms; or
(e) your breach of any law.
15.2 We will tell you about any claim covered by this clause within a reasonable time, and we will reasonably cooperate with you, at your cost, in defending it.
16. Suspension and termination
16.1 By you. You can stop using the Services and cancel your subscription at any time (see clause 5.10).
16.2 Suspension by us. We may suspend all or part of the Services immediately, with or without notice, if:
(a) you do not pay Fees when due;
(b) we reasonably believe that you have broken clause 7 or clause 8;
(c) your use creates a security, legal or operational risk, or a risk of action by a Third-Party Service against Sollo or other customers; or
(d) a law, regulator, court or Third-Party Service provider requires it.
16.3 Termination by us. We may terminate these Terms and close your Account:
(a) immediately, if you materially break these Terms and the breach cannot be remedied, or you have not remedied it within 14 days after we ask you to;
(b) immediately, if you become insolvent, go into liquidation or receivership, or make an arrangement with your creditors; or
(c) for any other reason, with 30 days' notice. If we terminate under this clause 16.3(c), we will refund the pre-paid Fees for the unused period of your current billing period.
16.4 No refund for breach. If we suspend or terminate because you broke these Terms, you are not entitled to any refund, and all unpaid Fees become due immediately.
16.5 Your data after termination. For 30 days after your Account closes, you can ask us to give you access to export your Customer Data, unless we closed your Account because of a serious breach of clause 7 or clause 8. After 30 days we will delete Customer Data, unless the law requires us to keep it. Deleted data may stay in backups for a limited time until they are overwritten.
16.6 What survives. Clauses that by their nature should continue after termination continue to apply. These include clauses 5 (amounts owed), 9, 12, 13, 14, 15, 16, 20 and 21.
17. Confidentiality
17.1 Each party must keep confidential any non-public information that the other party gives it and that is marked as confidential or that a reasonable person would consider confidential. Each party may use that information only to perform these Terms and may disclose it only to its staff, advisers and service providers who need to know it and who are bound by similar duties of confidence, or where the law requires it.
17.2 This clause does not apply to information that is public through no fault of the receiving party, that the receiving party already had, or that the receiving party received lawfully from a third party without a duty of confidence.
18. Changes to these Terms
18.1 Updates. We may update these Terms at any time. When we do, we will post the updated Terms on the Website, change the "Last updated" date, and tell you by email or in the app.
18.2 When updates take effect. Updated Terms take effect when we post them, unless our notice gives a later date. If you continue to use the Services after that, you accept the updated Terms.
18.3 If you do not agree. If you do not agree with an update, stop using the Services and cancel your subscription. If you cancel within 30 days after we notify you of an update that materially affects you, we will refund the Fees you paid in advance for the unused part of your current billing period.
18.4 Price changes. This clause 18 does not apply to changes to Fees. Clause 5.8 applies to those.
19. Events outside our control
19.1 We are not liable for any failure or delay that is caused by an event outside our reasonable control. Examples include natural disasters, pandemics, war, terrorism, cyber-attacks, government action, labour disputes, and failures or changes of the internet, hosting providers, power supplies or Third-Party Services.
19.2 If such an event prevents us from providing a material part of the Services for more than 60 days, either party may terminate by written notice.
20. Disputes and governing law
20.1 Talk to us first. If you have a dispute with us, email support@gosollo.com with the details. Both parties will try in good faith to resolve it within 30 days before starting court proceedings. This does not stop either party from seeking urgent relief from a court.
20.2 Governing law. These Terms are governed by the laws of New Zealand.
20.3 Courts. Each party submits to the exclusive jurisdiction of the courts of New Zealand.
20.4 Individual claims. To the extent the law allows, you may bring claims against us only in your individual capacity, and not as a member of a class or representative action.
21. General
21.1 Assignment. You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign or transfer our rights and obligations to a related company, or to a buyer of all or part of our business, by notice to you.
21.2 Subcontractors. We may use subcontractors and service providers to provide the Services. We remain responsible for their performance under these Terms.
21.3 Entire agreement. These Terms, the Privacy Policy, and any order or plan details that you accept, are the entire agreement between you and us about the Services. They replace all earlier agreements, representations and understandings. You confirm that you have not relied on any statement that is not in these Terms.
21.4 Order of priority. If documents conflict, this order applies: (1) a signed written agreement between you and us; (2) these Terms; (3) other policies.
21.5 Severability. If any part of these Terms is found to be invalid or unenforceable, it will be read down or removed to the minimum extent necessary, and the rest of these Terms continues to apply.
21.6 No waiver. If we do not enforce a right, or delay enforcing it, we do not waive that right.
21.7 No partnership. These Terms do not create a partnership, joint venture, agency or employment relationship.
21.8 Third-party rights. Except for the persons protected by clause 15, no third party has rights under these Terms. Those persons may enforce clause 15 under subpart 1 of Part 2 of the Contract and Commercial Law Act 2017.
21.9 Notices. We may send notices to the email address in your Account or display them in the app. You must send notices to support@gosollo.com. Email notices are received when sent, unless the sender receives a message that the email was not delivered.
21.10 Electronic acceptance. You agree that these Terms may be accepted electronically and that your electronic acceptance is binding.
